The board has the ultimate decision-making authority and, in general, is empowered to set the company's policies, objectives, and overall directions; to adopt bylaws; to name members of the advisory, executive, finance, and other committees; to hire, monitor, evaluate, and fire the managing director and senior executives; to determine and pay dividends and issue additional shares.
